These Ambassador Program Terms ("Program Terms") govern your participation in the RankCaster AI Ambassador Program (the "Program"). The Program is operated by Digital Team of Terekh, Sderot Yeelim 72, Beer Sheva, Israel ("RankCaster AI", "we", "us" or "our"). By applying to or participating in the Program you agree to these Program Terms, our Terms of Service and our Privacy Policy. If you participate on behalf of a company, you confirm you are authorized to bind it, and "you" refers to that company.

1. Eligibility and Application

You must be at least 18 years old and able to enter into a binding contract. You apply by submitting the application form and confirming your email address. We review applications manually and may approve or decline any application at our discretion, without having to give a reason. You agree to provide accurate information and keep it up to date. You do not need to be a RankCaster AI customer to participate.

2. Your Referral Link and Attribution

Once approved, you receive a personal referral link. A customer is attributed to you when they open your link and create a new RankCaster AI workspace within 90 days.
Attribution is first-touch: if a customer opened another ambassador's link first, that ambassador is credited. Our records are final for attribution.
Existing customers, workspaces created before the click, and customers who reach us through other channels without your link are not attributed to you.
You may not earn on your own workspace, on a workspace you are a member of, or on workspaces created by you or on your behalf ("self-referral").
If a customer qualifies for both the Ambassador Program and our customer referral program, the Ambassador Program applies and no customer referral credit is issued for that customer.

3. Commissions

You earn a commission of 30% of each payment an attributed customer makes for RankCaster AI subscriptions during the first 12 months after attribution — the first payment, renewals and upgrades.
Commissions are calculated on the amount actually paid, excluding taxes (such as VAT or sales tax), and after discounts and credits. One-time add-on purchases are not commissionable unless we state otherwise.
If a payment is refunded, charged back or disputed, the related commission is reversed and deducted from your balance, including after it has been paid out.
We may agree different terms with you individually in writing (for example, in your dashboard). Changes to your individual terms apply to future payments only.

4. Hold Period and Payouts

Each commission is held for 45 days after the customer's payment to cover the refund window. After the hold it becomes available for payout.
We pay available commissions once a month in US dollars by PayPal, Wise or bank transfer, when your available balance is at least $50. Smaller balances carry over to the following month.
You must add complete and accurate payout and tax details in your ambassador dashboard. We are not responsible for payments sent to details you provided that turn out to be wrong. We may delay a payout until your details are complete.
Fees charged by your payment provider or bank, and currency conversion costs on your side, are your responsibility.

5. Taxes

You are an independent contractor and are solely responsible for reporting and paying any taxes on your commissions in your country. We may ask for tax information or forms (for example, a W-9 or W-8BEN, or a VAT number for businesses) and an invoice before paying, and we may withhold amounts where required by law. Commissions are paid as stated; we do not add VAT unless agreed in writing.

6. How You May Promote RankCaster AI

You agree to promote RankCaster AI honestly and in compliance with applicable laws and platform rules. In particular, you must:

clearly disclose that you may earn a commission when you recommend RankCaster AI (for example, as required by the US FTC, the UK ASA or similar rules where your audience is);
not send spam or unsolicited messages, and comply with email and anti-spam laws;
not bid on, or run paid ads containing, "RankCaster" or confusingly similar terms, and not register domains or social accounts using our brand;
not make false or misleading claims — including guaranteed rankings, AI visibility or results — or claims about features, pricing or terms that are not true;
not offer cash back, rebates or other incentives for signing up, and not publish coupon codes we have not given you;
not use fake accounts, bots, cookie stuffing, or any other way of creating artificial signups or attributions.

7. Use of Our Brand

While you participate, we grant you a limited, non-exclusive, non-transferable, revocable license to use the RankCaster AI name, logo and the materials we provide, solely to promote RankCaster AI under these Program Terms. You may not modify our marks or imply that you are RankCaster AI or speak on our behalf. The license ends when your participation ends.

8. Support and Training

We offer ambassadors free personal consultations, an onboarding call, training materials, webinars and a private community. These are provided free of charge, as available, and we may change them at any time. They do not create any obligation for you to achieve results or for us to guarantee them.

9. Relationship of the Parties

You participate as an independent contractor. Nothing in these Program Terms creates an employment, agency, partnership or joint venture relationship. You may not make commitments or enter into contracts on our behalf. You are free to promote other products, including competing ones.

10. Customer Data and Confidentiality

Your dashboard shows limited information about customers attributed to you (such as the workspace name, whether they pay and your commissions). You may use it only to track your participation, must keep it confidential and must not contact our customers to interfere with their use of the Service. We process your personal data as described in our Privacy Policy.

11. Fraud and Clawbacks

If we reasonably believe that commissions were earned through fraud, self-referral, misleading promotion or any breach of these Program Terms, we may withhold or reverse those commissions, recover amounts already paid (including by offsetting future commissions) and suspend or terminate your participation.

12. Term and Termination

Either party may end your participation at any time, for any reason, by notice (including through the dashboard or by email). If we end it for a breach of these Program Terms, unpaid commissions are forfeited. Otherwise, commissions earned before termination are paid after their hold period on the usual schedule, even if below the $50 minimum, provided your payout details are complete. Customers attributed to you do not earn further commissions after termination.

13. Changes to the Program

We may change or discontinue the Program or these Program Terms. We will give at least 30 days' notice of material changes by email or in your dashboard. Changes do not affect commissions already earned. Continuing to participate after the effective date means you accept the changes; if you do not agree, you may end your participation.

14. Disclaimer and Limitation of Liability

The Program is provided "as is". We do not guarantee any level of earnings or that the Program or tracking will be uninterrupted or error-free. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages or lost profits, and our total liability arising out of the Program is limited to the commissions paid or payable to you in the six (6) months before the claim.

15. Indemnification

You will indemnify and hold RankCaster AI harmless from claims, losses and costs (including reasonable legal fees) arising out of your promotion activities, your breach of these Program Terms or your violation of any law or third-party right.

16. Governing Law and Jurisdiction

These Program Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. The competent courts of Beer Sheva, Israel, have exclusive jurisdiction over any dispute arising out of or relating to the Program, unless mandatory law provides otherwise.
